The firm represents a number of commercial banks and financial institutions in relation to
preparation of various security documents including legal charges and mortgages, corporate
bonds and debentures, chattels mortgages, letters of hypothecation, deeds of guarantee and
indemnity, simple loan agreements, syndicated loan agreements, perusing security documents
for companies borrowing money and preparation of necessary board resolutions and related
stamping and registration formalities. In conveyancing matters the firm in involved in all
aspects of conveyancing transactions including transfer of land, leases, charges, mortgages,
sectional property transactions, sub-divisions, changes of user, conveyances, reconveyances,
discharge of charges, caveats, cautions, easements, extension expired of Government Leases,
Licenses, Powers of Attorney, prohibitions, Rectification of Titles, easements, Sale of Land,
Sub-divisions, Trusts relating to Land, Wills, applying for and obtaining the various consents
required under the law, paying land rent and rates on behalf of clients, attendant stamping and
registration formalities, and advising clients generally on all aspects of land law.
We have a fully fledged litigation and arbitration practice involved in providing advice and
litigating matters before our civil courts at all levels. We also routinely appear before
various statutory tribunals, arbitration panels and the Constitutional Court. We handle
selected criminal briefs. Our work encompasses a wide array of sectors including Banking &
Finance, Insurance, Trade and Commerce, Intellectual Property, Information Technology,
Regulation of Communication, Risk Management, Real Estate, Estate Management, Insurance,
Labour Environment, Bank security realisation, fraud and tracing of assets, property
development and leasing, shareholder disputes, public law and judicial review litigation,
public procurement disputes, personal injury claims, family law, succession matters, as well
as matters before the constitutional court. We act for banks, insurance companies and other
financial institutions, energy companies, health care providers, real estate holding and
management companies, charitable organisations and other non-governmental organisations,
co-operative societies, government agencies and parastatals, banks and other clients
involved in sectors including telecommunications, transport, manufacturing, horticulture and
agriculture, tourism, and the water sector.

Our practice includes preparation of various commercial agreements including franchise, agency
and distributorship agreements, equipment leasing agreements, construction contracts,
contracts for the supply of goods and services, hire-purchase agreements, financial and
operating leases agreements, asset finance agreements, sale of goods contracts, employment
contracts, structuring pensions and provident funds and Employees' Shares Ownership Schemes
(ESOPs). It also involves structuring Project finance arrangements. This also includes general
advice to local and international clients on all manner of legal queries relating to labour
laws, immigration and other aspects of commercial law.

business names; preparing and filing board of directors and shareholders' resolutions;
attending to changes to Memoranda and Articles of Association; company secretarial
responsibilities; preparation of joint venture entities and related agreements, share deals,
preparation of shareholders' and investors' agreements, private equity funds, buyouts,
investment transactions, corporate re-organization and restructuring, mergers and
acquisitions, strategic investments, debt restructuring, corporate finance and advice,
appointing and liaising with Receivers and Managers of Companies; capital market transactions,
liaising with Capital Markets Authority and Nairobi Stock Exchange.

The firm has a fully-fledged tax department which specializes in direct and indirect tax
advisory services for our diverse clients including companies, branch of foreign companies
established in Kenya, NGOS, charitable trusts and individuals. The services offered by this
department include, but are not limited to,

Pre-business establishment tax advice in order to enable the client
appreciate the tax implications to his business and the most tax
efficient “vehicle” for carrying on his business;
- General Tax advice to individuals and corporate entities;
- Tax Advice for businesses that have established, or intend to establish, business in the Export Processing Zones (EPZs);
- Advice on most tax efficient remuneration structures for expatriate employees and top-executives including directors;
- Tax due diligence and reviews in merger and acquisition transactions and share deals, including related tax implication and warranties;
- Processing of tax exemptions for NGOs, societies and charitable trusts, where applicable;
- Processing of tax related registration like PIN, VAT, NHIF, NSSF and PAYE; and
- Processing Stamp duty exemption in land transaction, where applicable; and
- Tax litigation before Local Committees, Tax Tribunals and Court of Laws.
We have been chosen as tax advisers to many corporations, SMES and NGOs, and charitable
trust. In relation to business advisory, the firm has a very vibrant practice that is
involved in advising local and overseas clients on licensing and legal compliance issues,
assisting clients in set up of operations and businesses in Kenya, advising them on the
most tax efficient modes of operation, helping them to acquire suitable business premises,
advising on labour and employment laws and immigration issues including obtaining work
permits for foreign employees and dependent permits.
The firm has a well developed intellectual Property Law Department which deals with advising
local and international clients on all aspects of intellectual property. The firm is also
involved in registrations, assignments and renewal of trademarks, industrial designs, patents,
and utility models and registered user and licence agreements for local and overseas clients,
registration of patents and industrial designs under the Kenyan Industrial Property Act, the
Patent Cooperation Treaty and the ARIPO protocol, payment of annual maintenance fees on behalf
of clients, advising on copyright, registration of plant breeders' rights including filing
applications for grant of such rights and liaising with the Kenya Plant Health Inspectorate
Services (KEPHIS).

Our practice in environmental and regulatory Law includes advising project proponents and
developers on legal compliance relating to the environmental laws including the Environmental
Management and Coordination Act, the Water Act and the Forest Act. We also advise on the
regulatory rules imposed by statute such as the Physical Planning Act, the Public Health Act,
the Local Government Act etc, and those imposed by subsidiary legislation such as by-laws.
In addition, we litigate on the same in all courts and at the National Environment Tribunal.
The firm is well versed in various types of IT and telecommunication based transactions
including e-commerce. The firm has acted for a number of telecommunication companies in
diverse areas of practice including obtaining the necessary approval and licences from the
Communication Commission of Kenya, preparation of the necessary telecommunication
infrastructure and network building agreements and deeds, software and hardware maintenance
agreements, diverse contractual matters, financing, investments and litigation arising from
such matters.
The firm has over the years offered legal services to various insurance companies. With one
of the firm's partners, Josephine Namasaka having worked in the insurance industry, the firm
understands the business legal aspects of insurance industry and the regulatory environment of
the insurance industry. We have been involved in the incorporation and structuring of
insurance companies locally, and in the capital and corporate of a multilateral regional
trade and credit insurance project funded by the World Bank
